Liquidium's Foundation Terms of Use

** USE OF THE FOUNDATION FUNCTIONS OF THE SITE BY PERSONS WHO ARE CURRENTLY OR ORDINARILY LOCATED OR RESIDE IN RESTRICTED TERRITORIES IS STRICTLY PROHIBITED, REGARDLESS OF THE USER'S IP ADDRESS. UTILIZING A VIRTUAL PRIVATE NETWORK OR OTHER METHOD TO CONCEAL A USER'S RESTRICTED TERRITORY RESIDENCE IS ALSO STRICTLY PROHIBITED AND MAY RESULT IN PERMANENT BLOCKING OF USE OF THE SITE IN CONNECTION WITH BLOCKCHAIN ADDRESSES SUSPECTED OF BEING TIED TO A RESTRICTED TERRITORY RESIDENCE. **

Please review these Terms of Use (“Terms”) carefully, as they set forth the legally binding terms and conditions that govern your use of our website located at https://liquidium.org (“Website”). The Website and any content, tools, features and functionality offered on or through our Website are collectively referred to as the “Site”. For purposes of these Terms, “you” and “your” means you as the user of the Site. These Terms expressly cover your rights and obligations, and our disclaimers and limitations of legal liability, relating to your use of, and access to, the Site.

The Site is a copyrighted work belonging to Liquidium Foundation, a Cayman Islands foundation company (the “Foundation,” “us,” “our,” and “we”). Your submission of information, including personally identifiable information or personal data (“Personal Data”), through or in connection with the Site is governed by the terms of our privacy policy as updated from time to time (“Privacy Policy”). All such additional terms, guidelines, and rules, including our Privacy Policy, are incorporated by reference into these Terms.

** IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND THE FOUNDATION THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 14 (DISPUTE RESOLUTION & ARBITRATION) BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 14 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 15 (GOVERNING LAW) WILL APPLY INSTEAD. **

1. Agreement to Terms

By accessing and using our Site, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, you are not authorized to use the Site.

2. Privacy Policy

Please review our Privacy Policy, which also governs your use of the Site, for information on how we collect, use and share your information, and is available here: [LINK]. It is strongly recommended that you review our Privacy Policy prior to using the Site. You agree that those disclosures are binding upon your use of our Site.

3. Services

i. Community Governance and Staking

Foundation's Site may enable you to vote and participate on certain community actions, including but not limited to submitting proposals or engaging in other decisions-making processes (referred as “Community Governance”). Additionally, the Site may allow you to lock (“Stake”) certain digital assets or tokens for a specified period (“Lockup Period”). By staking your digital assets or tokens, you acknowledge and agree they may not be available for unlocking or withdrawal until the applicable Lockup Period has ended. The Site may enable you to initiate and participate in transactions involving digital assets. These transactions may include but are not limited to: (a) withdrawing tokens or other assets to a compliant non-custodial wallet (“Withdrawals”); or (b) exchanging one type of digital asset or token for another (“Swapping”).

ii. Limitations for U.S. Residents

You acknowledge that if you are a resident of the United States, certain features or functions of the Site may be unavailable to you, including but not limited to Withdrawals and Swapping. However, you may participate in Staking, Community Governance, and any other features we choose to make available to you at our sole discretion.

4. Identity Verification and Transaction Monitoring

i. User Information Collection

You agree and acknowledge that We will collect User information in order to use certain features of the Interface. This may include, and is not limited to, the following: first and last name, X (formerly known as Twitter) handle, email, and Wallet address. If you are unable to provide any of the requested information, you may be prevented from accessing certain features of the Interface. We will not be liable for any loss or damage arising from your failure to comply with this section.

ii. Identity Verification

You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to act as we reasonably deem necessary based on the results of such inquiries. When we carry out these inquiries, you acknowledge and agree that your personal data may be disclosed to fraud prevention or financial crime agencies.

iii. Wallet Screening

You agree and acknowledge that your Wallet address will be screened for regulatory compliance by a vendor when accessing the Site. By agreeing to these Terms, you are also agreeing to the terms and conditions and privacy policy of Chainalysis or whoever our Wallet screening vendor is when You access the Site. Any sharing of personal data between Liquidium and Chainalysis is governed by the Liquidium Privacy Policy.

iv. Compliance Monitoring

You agree and acknowledge that Liquidium may review any necessary information to comply with applicable law and/or its internal compliance standards including monitoring on-chain activity associated with your Wallet. Liquidium may further block certain transactions from being executed with the help of the Interface if we determine in our sole discretion such transactions would violate applicable law or would other not be permitted by these Terms.

v. Compliance Requirements

Failure to provide any reasonably requested information pursuant to applicable money laundering and sanctions laws and regulations after you have become a User shall be grounds for the suspension of your account and/or termination of these Terms.

5. Use of the Site

i. Representations and Warranties

To use the Site, you represent and warrant to the Foundation the following:

  • if you are entering into these Terms as an individual, that you are at least 18 years old or of legal age in the jurisdiction in which you reside, have the legal capacity to enter into these Terms and be bound by them, and are not otherwise barred from using the Site under applicable law;
  • if you are entering into these Terms on behalf of an entity, you confirm that you have the legal authority to do so, in which case “you” will mean that entity;
  • You will comply with all applicable laws when using the Site;
  • You are not located in a country that is subject to a U.S. Government embargo or U.S. Government sanctions list;
  • You are not listed on any U.S. Government list of prohibited, sanctioned, or restricted parties;
  • You are solely responsible for ensuring that your access and use of the Site in such country, territory, or jurisdiction does not violate any applicable laws;
  • You will not use any software or networking techniques, including use of a Virtual Private Network (“VPN”) to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition;
  • You are not a resident, citizen, or agent of the United States, Cuba, Iran, North Korea, Syria, Belarus, Russia, or the Crimea, Luhansk, Donetsk, Zaporizhzhia, or Kherson regions of Ukraine, nor of any other country or jurisdiction subject to U.S. embargoes or similar sanctions (collectively, “Restricted Territories”);
  • You are not designated a Specially Designated National or placed on any sanctions lists by the U.S. Treasury Department's Office of Foreign Assets Control, the U.S. Commerce Department, or the U.S. Department of State (collectively, “Sanctions Lists Persons”); and you will not use our Site to conduct any illegal or illicit activity;
  • You do not intend to and will not transact with any Restricted Person or Sanctions List Persons;
  • You do not, and will not, use VPN software or any other privacy or anonymization tools or techniques to circumvent, or attempt to circumvent, any restrictions that apply to the Website or App;
  • Your access to the Site is not: (a) prohibited by and does not otherwise violate or assist you to violate any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over the Foundation, you, the Site, or as otherwise duly enacted, enforceable by law, the common law or equity (collectively, “Applicable Laws”); or (b) contribute to or facilitate any illegal activity;
  • the sale of stolen assets, assets taken without authorization, and otherwise illegally obtained assets during the use of the Sites is prohibited. If you have reason to believe that an asset listed in the Site was illegally obtained, please contact us.

ii. Site Acknowledgments

As a condition to accessing or using the Site, you acknowledge, understand, and agree to the following:

  • from time to time, any part of the Site may be inaccessible or inoperable for any reason, including, without limitation: (a) equipment malfunctions; (b) periodic maintenance procedures or repairs that the Foundation or any of its suppliers or contractors may undertake from time to time; (c) causes beyond the Foundation's control or that the Foundation could not reasonably foresee; (d) disruptions and temporary or permanent unavailability of underlying blockchain infrastructure; or (e) unavailability of third-party service providers or external partners for any reason;
  • there are risks related with the use of digital assets, including but not limited to: internet connection and software issues, malicious software and the risk of bad actors accessing to information stored in your compliant non-custodial digital wallet. We disclaim any ongoing obligation to notify you of all the potential risks of using digital assets. You agree to accept these risks and agree that you will not seek to hold the Foundation responsible for any consequential losses;
  • we reserve the right to disable or modify your access to any part of the Site at any time in the event of any breach of these Terms, including, without limitation, if we reasonably believe any of your representations and warranties may be untrue or inaccurate, and we will not be liable to you for any losses or damages you may suffer as a result of or in connection with the Site being inaccessible to you at any time or for any reason;
  • We reserve the right, but have no obligation, to monitor the locations from which our Site is accessed. Furthermore, we reserve the right, at any time, in our sole discretion, to block access to the Site, in whole or in part, from any geographic location, IP addresses, and unique device identifiers, or to any user who we believe is in breach of these Terms;
  • the Site may evolve, which means Liquidium may apply changes, replace, or discontinue (temporarily or permanently) any part of the Site at any time in its sole discretion;
  • Foundation does not act as an agent for you for any use of the Site;
  • to the fullest extent not prohibited by Applicable Law, we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, you hereby irrevocably disclaim, waive, and eliminate those duties and liabilities;
  • the Foundation does not take custody or possession of any digital assets, nor does it act as an agent or custodian for users of the Site. Any digital asset purchases you make will be conducted solely through the blockchain network governing the asset. Any digital asset transfers will be processed exclusively through the compliant non-custodial wallet you have connected to the Site. We do not have access to or control over such transfers and cannot reverse any transactions. As such, we are not liable to you or any third party for any claims or damages arising from transactions conducted through the Site;
  • Transactions using blockchains may require the payment of transaction or gas fees, which are essentially network transaction fees paid on every transaction that occurs on the selected blockchain network; transaction or gas fees are non-refundable, and we do not provide any services to Users or deliver, hold, and/or receive payment for cryptoassets; We do not receive any fees for any transactions or the Interface;
  • you are solely responsible for reporting and paying any taxes applicable to your use of the Site;
  • you bear full responsibility for verifying the legitimacy and authenticity of any rewards, including digital assets you receive through the Site. Despite any indicators or messages suggestion verification the Foundation makes no claims regarding the legitimacy or authenticity of rewards received in connection with the use of the Site;
  • a lack of use or public interest in the creation and development of distributed ecosystems could hinder the growth of these ecosystems and related applications, potentially reducing the utility or value of any associated digital assets;
  • the prices and liquidity of digital assets are highly volatile. Price fluctuations of other digital assets could have a material and adverse impact on the value and liquidity of digital assets available through the Site, which are also subject to significant volatility.

iii. User Covenants

As a condition to accessing or using the Site, you covenant to the Foundation the following:

  • you will obey all Applicable Laws in connection with using the Site, and you will not use the Site if the laws of your country, or any other Applicable Law, prohibit you from doing so;
  • you may be required to pay a gas fee for each transaction you execute on the blockchain. “Gas Fee” means the fees that fund the network of computers that run on decentralized blockchain networks. If you are required to pay a Gas Fee, you acknowledge that under no circumstances will a transaction be invalidated, revocable, retractable, or otherwise unenforceable on the basis that the gas fee for the given transaction was unknown, too high, or otherwise unacceptable to you;
  • you understand that blockchain technology is new and presents novel issues of law. While jurisdictions around the globe have considered blockchain specific legislation and regulations, many jurisdictions have yet to provide regulatory clarity to this new technology. While the Foundation has taken efforts to not violate global regulations, regulatory authorities may disagree with Foundation's legal conclusions. Further, laws and regulations may be enacted in the future that would have an adverse impact on blockchain technology, digital assets and the LIQUIDIUM•TOKEN. This could include, but is not limited to, the banning of certain types of transactions, the introduction of new taxes, or even outright prohibition of certain digital assets.

6. No Professional Advice or Fiduciary Duties

All information provided in connection with your access and use of the Site is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained on the Site or any other information that we make available at any time, including, without limitation, blog posts, articles, links to third-party content, discord content, news feeds, tutorials, tweets, and videos. Before you make any financial, legal, or other decisions involving the Site, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate. The Terms are not intended to, and do not, create or impose any fiduciary duties on us. You further agree that the only duties and obligations that we owe you are those set out expressly in these Terms.

7. Prohibited Activity

You may not use the Site to engage in the categories of activity set forth below (“Prohibited Uses”). The specific activities set forth below are representative, but not exhaustive, of Prohibited Uses. If you are uncertain as to whether or not your use of the Site involves a Prohibited Use or have other questions about how these requirements apply to you, then please contact us at info@liquidium.org. By using the Site, you confirm that you will not use the Site to do any of the following:

  • violate any Applicable Laws including, without limitation, any relevant and applicable anti-money laundering and anti-terrorist financing laws and sanctions programs of any jurisdiction, such as, without limitation, the Bank Secrecy Act, and the U.S. Department of Treasury's Office of Foreign Asset Controls;
  • engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under Applicable Law, including but not limited to use of the Foundation's intellectual property, name, or logo, including use of the Foundation's trade or service marks, without express consent from the Foundation or in a manner that otherwise harms the Foundation, or any action that implies an untrue endorsement by or affiliation with the Foundation;
  • use the Site in any manner that could interfere with, disrupt, negatively affect, or inhibit others from fully enjoying the Site, or that could damage, disable, overburden, or impair the functioning of the Site in any manner;
  • circumvent any content-filtering techniques, security measures or access controls that the Foundation employs on the Site, including, without limitation, through the use of a VPN;
  • use any robot, spider, crawler, scraper, or other automated means or interface not provided by us, to access the Site or to extract data, or introduce any malware, virus, Trojan horse, worm, logic bomb, drop-dead device, backdoor, shutdown mechanism or other harmful material into the Site;
  • provide false, inaccurate, or misleading information while using the Site or engage in activity that operates to defraud the Foundation, other users of the Site, or any other person;
  • use the Site in any way that is, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, threatening, stalking, hateful, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others;
  • use the Site from a jurisdiction that we have, in our sole discretion, determined is a jurisdiction where the use of the Site is prohibited;
  • harass, abuse, or harm of another person or entity, including the Foundation's employees and service providers;
  • impersonate another user of the Site or otherwise misrepresent yourself;
  • encourage, induce, or assist any third party, or yourself attempt, to engage in any of the activities prohibited under this Section 6 or any other provision of these Terms.

8. Proprietary Rights

i. License Grant

Subject to these Terms, the Foundation grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site for your own personal and noncommercial use.

ii. License Restrictions

The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site, whether in whole or in part, or any content displayed on the Website; (b) you shall not (directly or indirectly) modify, decipher, disassemble, reverse compile or reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website, product, or service; (d) translate, or otherwise create derivative works of any part of the Website; (e) rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder; (f) frame or mirror any part of the Site without the Foundation's express prior written consent; (g) create a database by systematically downloading and storing Website content; (h) use any robot, spider, search/retrieval application or other manual or automatic device to retrieve, harvest, index, “scrape,” “data mine” or in any way gather Website or reproduce or circumvent the navigational structure or presentation of the Website without Foundation's express prior written consent and (i) except as expressly stated herein, no part of the Website may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.

iii. Site Modifications

Liquidium reserves the right, at any time, to modify, suspend, or discontinue the Site (in whole or in part) with or without notice to you. You agree that Liquidium will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Site, or any part thereof.

iv. No Support Obligation

You acknowledge and agree that Liquidium will have no obligation to provide you with any support or maintenance in connection with the Site.

v. Intellectual Property Rights

You acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site and its content are owned by the Foundation. Neither these Terms (nor your access to the Site) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in these Terms. The Foundation and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.

vi. Feedback

We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Site (“Feedback”). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.

9. Third-Party Links

The Website may provide links to other World Wide Web or accessible sites, applications, or resources. You acknowledge and agree that the Foundation is not responsible for the availability of such external sites, applications, or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that the Foundation shall not be responsible or liable, directly, or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such site or resource.

10. Modification, Suspension, and Termination

i. Site Modifications

We may, at our sole discretion, from time to time and with or without prior notice to you, modify, suspend, or disable (temporarily or permanently) the Site, or your account, in whole or in part, for any reason whatsoever.

ii. Updating these Terms

We may modify these Terms from time to time in which case we will update the “Last Updated” date at the top of these Terms. If we make changes that are material, we will use reasonable efforts to attempt to notify you, such as by e-mail, and/or by placing a prominent notice on the first page of the Website, and/or by implementing a mandatory click-through process. In the event we implement mandatory click-through process for any material changes to these Terms, by clicking, you agree and acknowledge you have read the changes and acceptance of the modified Terms will become effective. However, it is your sole responsibility to review these Terms from time to time to view any such changes. The updated Terms will be effective as of the time of posting, or such later date as may be specified in the updated Terms. Your continued access, use of the Site after the modifications have become effective will be deemed your acceptance of the modified Terms.

iii. No Support Obligation

You acknowledge and agree that the Foundation will have no obligation to provide you with any support or maintenance in connection with the Site.

iv. Termination

Subject to this Section, these Terms will remain in full force and effect while you use or access the Site. We may suspend or terminate your rights to use or access the Site at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your right to access and use the Site will terminate immediately. We are not liable for any losses suffered in case of termination or suspension of your access.

11. Accuracy of Information

We attempt to ensure that the information that we provide on the Site is complete, accurate and current. Despite our efforts, the information on the Site may occasionally be inaccurate, incomplete, or out of date. We make no representation as to the completeness, accuracy, or correctness of any information on the Site.

12. Indemnification

You will defend, indemnify, and hold harmless the Foundation, its affiliates, and its and its affiliates' respective stockholders, members, directors, officers, managers, employees, attorneys, agents, representatives, suppliers, and contractors (collectively, “Indemnified Parties”) from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost or expense, including without limitation reasonable attorneys' fees, arising out of or relating to (a) your use of, or conduct in connection with, the Site; (b) digital assets associated with your blockchain network address; (c) any Feedback or user content you provide to Liquidium, if any, concerning the Site; (d) your violation of these Terms; or (e) your infringement or misappropriation of the rights of any other person or entity. If you are obligated to indemnify any Indemnified Party, the Foundation (or, at its discretion, the applicable Indemnified Party) will have the right, in its sole discretion, to control any action or proceeding and to determine whether the Foundation wishes to settle, and if so, on what terms, and you agree to cooperate with the Foundation in the defense. You may not settle or otherwise compromise any claim subject to this section without the Foundation's prior written approval.

13. Disclosures; Disclaimers

i. Disclaimer of Warranties

The disclaimer of implied warranties contained herein may not apply if and to the extent such warranties cannot be excluded or limited under the Applicable Law of the jurisdiction in which you reside.

ii. AS-IS Basis

THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND THE FOUNDATION (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.

iii. Digital Assets Disclaimer

DIGITAL ASSETS, SUCH AS THE LIQUIDIUM TOKEN ARE INTANGIBLE AND EXIST ONLY THROUGH OWNERSHIP RECORDS ON THE RELEVANT BLOCKCHAIN NETWORK. ANY TRANSFER OF TITLE FOR A DIGITAL ASSET OCCURS ON THE DECENTRALIZED LEDGER OF THAT NETWORK. THE FOUNDATION DOES NOT GUARANTEE THAT THE TRANSFER OF TITLE OR RIGHTS FOR ANY DIGITAL ASSET WILL BE SUCCESSFUL, NOR THAT ASSOCIATED PAYMENTS WILL BE PROCESSED SUCCESSFULLY.

14. Limitation of Liability

To the fullest extent permitted by law, the Foundation, and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out or related to your use of Site, including but not limited to: (a) loss of profits, revenue, business data or goodwill; (b) errors, interruptions, delays, or Site failures; (c) unauthorized access to or use of your account or data; (d) any action take based on information provided through the Site; (e) any other loss or damage arising out of your use of the Site. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, and regardless of whether the Foundation has been advised of the possibility of such damages. Foundation's total aggregate liability to you for any claims arising out of or related to this Terms, regardless of the form of the action, shall be limited to the fees paid by you to Foundation in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so some of the above limitations may not apply to you. In such cases, Foundation's liability will be limited to the fullest extent permitted by applicable law.

15. Dispute Resolution & Arbitration

i. Arbitration Agreement

Any claim or controversy arising out of or relating to any of our products, these Terms, the Site, or any other acts or omissions for which you may contend that we are liable, including, but not limited to, any claim or controversy as to arbitrability (“Dispute”), shall be finally and exclusively settled by arbitration under the JAMS Optional Expedited Arbitration Procedures. You understand that you are required to resolve all Disputes by binding arbitration. The arbitration shall be held on a confidential basis before a single arbitrator, who shall be selected pursuant to JAMS rules, including where applicable the JAMS' Mass Arbitration Procedures and Guidelines. The arbitration will be held in the Cayman Islands, unless you and we both agree to hold it elsewhere. Unless we agree otherwise, the arbitrator may not consolidate your claims with those of any other party. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If for any reason a claim by law or equity must proceed in court rather than in arbitration you agree to waive any right to a jury trial and any claim may be brought only in a court located in the Cayman Islands.

ii. Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN A PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND THE FOUNDATION AGREE, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR ENGAGE IN ANY CLASS ARBITRATION. BY AGREEING TO THESE TERMS, YOU ACKNOWLEDGE THAT YOU AND THE FOUNDATION EACH WAIVE THE RIGHT TO: (1) A JURY TRIAL; AND (2) PARTICIPATE IN A CLASS ACTION. IF A COURT DECIDES THAT APPLICABLE LAW PRECLUDES ENFORCEMENT OF ANY OF THIS PARAGRAPH'S LIMITATIONS AS TO A PARTICULAR CLAIM FOR RELIEF, THEN THAT CLAIM (AND ONLY THAT CLAIM) MUST BE SEVERED FROM THE ARBITRATION AND MAY BE BROUGHT IN COURT. THIS CLASS ACTION WAIVER IS SUBJECT TO AND DOES NOT IMPAIR OR IMPEDE THE FOUNDATION'S RIGHT TO CONSOLIDATE RELATED USER CLAIMS AS DESCRIBED ABOVE.

16. Governing Law

The interpretation and enforcement of these Terms, and any dispute related to these Terms or the Site, will be governed by and construed and enforced under the laws of the Cayman Islands as applicable, without regard to conflict of law rules or principles (whether of Cayman Islands or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. You agree that we may initiate a proceeding related to the enforcement or validity of our intellectual property rights in any court having jurisdiction. For any other proceeding that is not subject to arbitration under these Terms, the courts located in the Cayman Islands will have exclusive jurisdiction. You waive any objection to venue in any such courts.

You consent to receive all communications, agreements, documents, receipts, notices, and disclosures electronically (collectively, our “Communications”) that we provide in connection with these Terms or the use of the Site. You agree that we may provide our Communications to you by posting them on the Website or by emailing them to you at the email address you provide in connection with using the Site, if any. You should maintain copies of our Communications by printing a paper copy or saving an electronic copy.
